By creating an account and using EndEntry ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that you are 18 years of age or older.

2. Service Description

EndEntry is a B2B software-as-a-service tool designed to assist businesses in normalizing vendor invoices into standardized CSV exports.

2.1 Service Limitations

• The Service uses automated processing to extract and normalize invoice data
• Automated processing may produce errors, inaccuracies, or incomplete results
• The Service provides best-effort accuracy with NO WARRANTIES of any kind
• Results are generated through automated algorithms and may require manual review
• The Service utilizes probabilistic Large Language Models (LLMs) and optical character recognition (OCR). You acknowledge that these technologies are inherently non-deterministic and may produce 'hallucinations' or statistically likely but factually incorrect data. The Service is a 'suggestive' tool, not a 'definitive' source of truth.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or completeness of data
• Uninterrupted or error-free operation

• Damages arising from reliance on Service outputs
• Lost profits, revenue, data, or business opportunities
• Indirect, incidental, consequential, or punitive damages

MAXIMUM LIABILITY: Our total liability to you for all claims arising from use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

5. Account Terms

5.1 Account Creation

• You must provide accurate and complete information when registering
• You must be 18 years or older to create an account
• You are responsible for maintaining the security of your account
• You are responsible for all activities under your account

5.2 Account Security

• You must keep your password confidential
• You must notify us immediately of any unauthorized access
• We are not liable for losses due to unauthorized use of your account

5.3 Subscription and Billing

• Subscriptions are billed monthly or annualy, based on your subscription type, in advance
• You authorize us to charge your payment method on file
• Subscription fees are non-refundable except as required by law
• We may change pricing with at least 30 days' notice

5.4 Usage Limits

• Each subscription plan has monthly invoice processing limits
• Exceeding limits may result in service interruption or overage charges
• You must upgrade to a higher plan to process additional invoices
• Usage is metered by invoice volume. Unless otherwise specified in your plan, EndEntry provides unlimited user seats per organization to encourage firm-wide adoption without per-user licensing fees

6. Data Processing

6.1 Your Data

• You retain all rights to your uploaded invoice files
• We process your data solely to provide the Service
• We do not sell or share your data with third parties for marketing
• All primary data storage and processing occur on servers located within the United States. We do not utilize third-party AI sub-processors that retain or train on your sensitive financial data.

6.2 Data Retention

• Uploaded invoice files are retained for 7 years after processing or indefinitely based on your subscription plan
• Processed output files are retained for 7 years days after generation or indefinitely based on your subscription plan
• This data is stored purely for your convinience to satisfy potential IRS and SOX compliance requirements
• You can delete your account and all data at any time

6.3 Data Security

• We implement reasonable security measures to protect your data
• However, no system is completely secure
• You acknowledge the inherent risks of internet-based services
• We are not liable for unauthorized access despite our security measures

7. Intellectual Property

7.1 Service Ownership

• The Service, including all software, designs, and content, is owned by us
• These Terms do not grant you any ownership rights to the Service
• You may not copy, modify, or reverse engineer the Service

7.2 Your Content

• You retain ownership of your uploaded invoice files
• You grant us a limited license to process your files to provide the Service
• This license terminates when you delete your files or account

8. Termination

8.1 Termination by You

• You may cancel your subscription at any time from account settings
• You may delete your account at any time
• Account deletion is permanent and cannot be undone
• Upon deletion, all your data will be removed within 30 days

8.2 Termination by Us

We may suspend or terminate your account if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• Your payment method fails
• We discontinue the Service (with 30 days' notice)

8.3 Effect of Termination

• Upon termination, your right to use the Service immediately ceases
• We will delete your data according to our Data Retention Policy
• Provisions regarding disclaimers, liability, and disputes survive termination

9. Changes to Terms

• We may modify these Terms at any time
• We will notify you of material changes via email
• Continued use after changes constitutes acceptance
• If you do not agree to changes, you must stop using the Service

10. Governing Law and Disputes

10.1 Governing Law

These Terms are governed by the laws of St. Louis County, Missouri, without regard to conflict of law principles.

10.2 Dispute Resolution

• You agree to first attempt to resolve disputes informally by contacting us
• If informal resolution fails, disputes will be resolved through binding arbitration
• You waive the right to participate in class actions
